CONTEST RULES
"Stay zen all year contest – Black Friday"
November 4 to December 2, 2024

NO PURCHASE NECESSARY. The “Stay zen all year contest – Black Friday” contest (the “contest”) is offered by Groupe BMTC inc. doing business under the business name “Tanguay” (hereinafter “Tanguay”). Your participation in the contest constitutes your full and unconditional acceptance of these contest rules, including the decisions, which are final, of Tanguay on all matters relating to the contest. The following contest is open exclusively to natural persons of legal age (i.e. 18 years of age) residing in the province of Quebec (collectively “customer(s)” or “participant(s)” or “you”). Enter only if you are a resident of the province of Quebec.

1. HOW TO PARTICIPATE

   The contest begins on Monday, November 4, 2024, at 12:01, a.m. Eastern Time and ends on Monday, December 2, 2024:

   • at 5:00 p.m. Eastern time, in “Tanguay” stores and at Maurice Tanguay Signature (such 20 stores being collectively the “Stores”); and
   • at 11:59 p.m. Eastern Time, on tanguay.ca (the “Website”).
     
     (the “Contest Period”)

   
   There are two (2) ways to participate in this contest:

   1. IN-STORE AND WEBSITE PURCHASES:
      1. All customers who make a purchase during the Contest Period in one of the Stores or on the Website will automatically be issued a contest entry. A customer may receive multiple contest entries if he or she makes more than one purchase during the Contest Period but will be limited to one (1) entry per day during the Contest Period, regardless of the number of purchases made during that same day.
      2. In the event that a customer purchases Tanguay gift cards in one of the Stores or through the Website, in accordance with subparagraph 1.1.1. above, said customer will be issued a contest entry at the time of purchase of the gift cards in question. However, contest entries will not be issued for the use of gift cards purchased during the Contest Period for merchandise, even if such use occurs during the Contest Period. In the event that a customer is in possession of a gift card purchased prior to the start of the Contest Period and wishes to pay for purchases made during the Contest Period with said gift cards, contest entries will be issued in accordance with the conditions set out in subparagraph 1.1.1.
      3. Contest entries made with gift cards purchased during the Contest Period will be automatically cancelled by Tanguay if said gift cards are used by the customer to pay any balance owing on merchandise purchased prior to the Contest Period.
      4. Contest entries will not be issued to a person who is not a natural person purchasing gift cards.
      5. These rules do not prohibit a customer from receiving one or more contest entries in accordance with the present rules, when the customer uses one or more gift cards to pay the purchase price of his purchase, if the gift card(s) had previously been issued in the name of a legal entity during the Contest Period and transferred to a customer (because the legal entity did not receive a draw coupon).
      6. Furthermore, a contest entry will only be issued to the customer when the purchase contract is recognized as valid by Tanguay and when it is confirmed that the deposit and/or credit approval conditions are met in accordance with Tanguay's internal requirements. A minimum deposit of 14.975% of the purchase price before taxes and applicable eco-fees shall be required to validate the customer's purchase contract. All contracts concluded following public or private bids will be excluded from the contest. Service department repair invoices are excluded from the contest.
      7. If a purchase is cancelled, the contest entry issued for such purchase will be cancelled in Tanguay's computer system.
   2. OTHER PARTICIPANT (NO PURCHASE NECESSARY) :
      1. The contest is also open to any natural person who wishes to enter (the “Other Participant”), subject to the conditions set out below. To do so, the Other Participant must, during the Contest Period, complete the online form found at the following hyperlink: click here. The Other Participant must complete the online form including the submission of a written text of a minimum of one hundred (100) words, stating his/her name, address, date of birth and the reasons why he/she wishes to participate in the contest. Upon receipt of the Other Participant's duly completed online form, Tanguay will send an acknowledgement of receipt of said form to the Other Participant's email address. If Tanguay determines, in its sole discretion, that the online form request meets the above criteria, Tanguay will send the Other Participant a written confirmation by email with a single draw coupon number. No draw coupon number will be issued in response to an application that does not comply with the conditions set out in this section.
2. PRIZE
   1. A winner shall be drawn from all issued participations for each Store and website, for a total of 21 winners. The Other Participants’ participations shall be treated with the participations issued to the participants which received a participation following a purchase through the Website.
   2. The twenty-one (21) winners will each receive 50% off the first $10,000 of merchandise purchases (before taxes and excluding gift cards) made in Stores or on the Website from January 1, 2025 to December 31, 2025, up to a maximum total rebate of $5,000 (value of $10,000) (the “prize”). For examples of the application of the prize, please refer to Schedule A.
   3. No participant may win more than one prize, even if they have made purchases in different Stores and/or on the Website and/or participated as Other Participant during the Contest Period.
3. DRAW (designation of winners)
   1. The draw for the 21 winners from all entries will take place on December 9, 2024, at 10 a.m. Eastern Time at Tanguay's head office located at 7200, rue Armand-Viau.
   2. Prior to obtaining their prize, as an essential condition for obtaining it and to be officially declared a winner, each potential winner must correctly answer a time-limited mathematical skill-testing question. Following a correct answer to the mathematical skill-testing question, the participant will be officially declared a winner. A winner will only be eligible for a prize if he/she has met all of the evaluation criteria listed above.
   3. Winners will be contacted in accordance with section 4.1.
4. PRIZE DISTRIBUTION
   1. The names of the 21 winners shall be randomly determined by computer amongst all eligible entries received before the contest deadline. Odds of winning depend on the number of eligible entries received before the contest deadline. Winners will be contacted by telephone and email within the first forty-eight (48) hours of selection. Winners must respond to Tanguay within five (5) days of Tanguay's first phone call to claim their prize. If a winner cannot be contacted or the prize has not been claimed after this period, the winner will be deemed to have waived the prize and a new winner will be selected.
   2. Winners' names will be published on Tanguay's social networks and on the Website.
   3. By participating in the contest, all winners authorize Tanguay to use their names, addresses and/or photographs for publicity purposes without any form of compensation.
5. GENERAL RULES
   1. The launch and any images associated with the advertisements for this contest are for informational purposes only. By entering this contest, each winner agrees to abide to each and every terms and conditions set forth herein and to release, discharge and hold harmless Tanguay and its respective affiliates, as well as their employees, representatives, agents, mandataries and partners from and against any and all claims, actions or causes of action, liabilities, losses, damages, costs and expenses of any nature whatsoever, in connection with or arising, directly or indirectly, from participation in this contest or use of the prize indicated.
   2. Prizes must be accepted as described in these rules and cannot, at the request of the winners, be substituted for another prize.
   3. If a winner refuses or fails to comply with the requirements contained herein or is found to have violated these rules in any way, or is found ineligible to receive a prize for any reason, the winner will be disqualified and will be deemed to have waived his/her prize for any reason whatsoever, the winner will be disqualified and will be deemed to have waived his/her prize. Any participant who does not meet the eligibility requirements set forth herein must inform Tanguay as soon as he/she is contacted.
   4. This contest is open to all persons of 18 years of age and older who reside in the province of Quebec, with the exception of employees, representatives and agents of Tanguay, their respective affiliated companies, their partners and the persons with whom these employees, representatives and agents are domiciled, as well as members of their immediate families.
   5. Tanguay will not be held responsible for incomplete or incomprehensible contact information on the part of participants. Tanguay reserves the right to reject any entry for a no-purchase entry pursuant to section 1.2 hereof that is either illegible, mutilated and/or contains a human or mechanical error. Facsimiles will not be accepted.
   6. Tanguay reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the contest, or any part thereof, at any time, for any reason and without prior notice.
   7. Contest rules are available in all Stores, on the Website and at Tanguay's head office located at 7200, rue Armand-Viau, Québec (Québec) G2C 2A7.
   8. Tanguay's decisions regarding the contest are final and without appeal. This contest is subject to all applicable municipal, provincial, and federal laws and regulations.
   9. Odds of winning the contest depend on the total number of draw coupons issued by Tanguay for the contest.
   10. The following actions are prohibited and will automatically disqualify entrants: (i) use of any method to artificially increase the odds of winning; (ii) non-compliance with these rules; and (iii) any other action that, in Tanguay's sole discretion, compromises the integrity or proper conduct of the contest.
   11. Released Parties (as such term is defined below) are not responsible for any manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize, use of entries by Tanguay, suit, debt, covenant, contract, including legal fees and expenses, whatsoever in connection with an entrant's participation in the contest, in connection with the acceptance by the entrant of a prize as awarded, and/or from receiving or downloading any material from Tanguay’s servers or from any other Internet web site, regardless of whether the material was prepared by Tanguay, or a third party. The Released Parties are not responsible for: (i) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures, destruction or unauthorized access to, or alteration of, entries, no matter the cause; (iii) failed or unavailable hardware, network, software or telephone transmissions; (iv) damage to entrants’ or any person’s computer and/or its contents; (v) any entries submitted in a manner that is not expressly allowed under these rules; (vi) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the contest, or (vii) any other causes beyond Tanguay’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this contest. All incomplete or non-conforming entries will be disqualified.
   12. BY PARTICIPATING IN THE CONTEST, YOU AGREE TO RELEASE, INDEMNIFY, DEFEND AND HOLD TANGUAY, ITS OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, ADVERTISING AGENCIES, PROMOTION AGENCIES, FULFILLMENT AGENCIES, LEGAL ADVISORS AND/OR ANY OTHER PROMOTION PARTY (COLLECTIVELY THE "RELEASED PARTIES"), HARMLESS FROM ANY AND ALL LOSSES, DAMAGES, COSTS, EXPENSES, LIABILITIES, CLAIMS AND ACTIONS OF ANY KIND (INCLUDING WITHOUT LIMITATION, PROPERTY DAMAGE, PERSONAL INJURIES AND/OR DEATH, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, COUNSEL FEES AND COURT COSTS) ARISING FROM OR IN CONNECTION WITH THE CONTEST, INCLUDING, WITHOUT LIMITATION, THE EXECUTION OR ADMINISTRATION OF THE CONTEST, YOUR PARTICIPATION IN THE CONTEST, THE ACCEPTANCE, POSSESSION, USE, NONUSE, OR MISUSE OF ANY PRIZE, OR PARTICIPATING IN OR TRAVELING TO ANY CONTEST-RELATED ACTIVITY EVEN IF CAUSED BY THE NEGLIGENCE OF THE RELEASED PARTIES. THIS RELEASE AND WAIVER IS INTENDED TO BE AS BROAD AS THE LAW ALLOWS AND SHALL SURVIVE THE TERMINATION OR EARLIER EXPIRATION OF THE CONTEST.
   13. ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR OTHERWISE CORRUPT THE CONTEST OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, TANGUAY RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
   14. The contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws. This contest shall be governed exclusively by the laws of the province of Quebec including all issues and questions concerning the construction, validity, interpretation and enforceability of these rules, rights and obligations between entrants and Tanguay, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts of the judicial district of Quebec City, province of Quebec.
   15. BY ENTERING THE CONTEST, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; AND (B) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
   16. All intellectual property associated with the contest and/or Tanguay, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by Tanguay. All rights reserved. Unauthorized copying or use of any of the Tanguay’s intellectual property without the express written consent of Tanguay is strictly prohibited.
   17. This contest is held and organized solely by and for the benefit of Tanguay.
6. PRIVACY POLICY

   Tanguay will collect personal information about contest participants and would-be participants for the purpose of running the contest and for internal market research purposes. Any participant may request to cancel his entry in the contest at any time by sending an email to serviceweb@tanguay.ca. No personal data will be transmitted, sold or made available to any third party, except:

   • if you give us permission;
   • when in good faith we believe the law requires it;
   • to our affiliated companies, provided that such companies and their respective agents, advisors, and employees use such information only for the purposes described in the rules;
   • to our respective service providers and agents, for data processing purposes, or to our respective advisors and promotional and marketing agencies, provided that such service providers, agents, advisors, and promotional and marketing agencies use such information only for the purposes described in these rules; and
   • in compliance with our Privacy Policy.

   Tanguay may combine statistical information with third-party data without disclosing personally identifiable information. Tanguay may share aggregate information with business partners, branded establishments, participating sponsors, and advertisers; however, this information will not be of a personal nature.

Schedule A
Application examples of the prize

To clarify the application of the prize, here are two examples:

Example 1:

If a prize-winning participant makes purchases of merchandise totaling $8,000 (before taxes) in the Stores and/or the Website between January 1, 2025 and December 31 2025, he will pay only $4,000 (before taxes) (i.e., a 50% discount on the total $8,000 purchases). Following the expiry of such period, any then unused balance associated with the prize, i.e. $1,000 for the purposes of this example, will no longer be available to the prize winner.

Example 2:

If a prize-winning participant makes purchases totaling $12,000 (before taxes) between January 1, 2025 and December 31, 2025, the 50% discount applies only to the first $10,000 of purchases (before taxes). The total rebate will therefore be $5,000 (50% rebate on the first $10,000 of purchases). The excess of the first $10,000 purchase will be entirely assumed by the winning participant, who will then have to pay an additional $2,000, for a total of $7,000.
